Terms of Service

GENERAL TERMS AND CONDITIONS OF CONTRACT

1. Scope and Purpose
‍
1.1 Scope
‍
These General Terms and Conditions govern the relationship between the owner of this website and its registered users or customers following the purchase of services through the website www.asesorae.com for the provision of services by ASESORAE.
‍
The purpose of this website is to present and make available tax, accounting, employment and related advisory services to users through this online platform.
‍
To this end, ASESORAE offers several service plans designed according to each customer’s profile and needs: the Entrepreneur Plan, Self-Employed Plan and SME Plan, each with different features.
‍
Purchasing any of these services requires the user to expressly accept these Terms and Conditions at the appropriate stage of the contracting process.
‍
The provisions set out in the Legal Notice, Privacy Policy and Cookie Policy shall also apply to the provision of services, with these General Terms and Conditions taking precedence over the aforementioned policies. Any specific terms applicable to the contracted service shall also apply, where relevant, and will be provided at the time of contracting.
‍
1.2. Purpose

These Terms and Conditions establish the general terms governing the services contracted by customers with ASESORAE. ASESORAE offers several service Plans, each of which may include specific terms and conditions that must be taken into account. The relevant features and specific terms are also described on the website. Before the services are contracted, both these General Terms and Conditions and any specific terms applicable to the service will be made available to the customer and must be expressly accepted.
‍
The services may be contracted by any professional, individual or legal entity requiring the services offered by ASESORAE. However, registration on the platform is required in order to do so.
‍
With regard to data processing, the provisions of the Legal Notice and Privacy Policy shall apply.
‍
2. Contracting Procedure
‍
2.1. User Registration and Account Creation
‍
Before contracting ASESORAE’s services, the user must register through the website www.asesorae.com by freely and voluntarily providing the personal information requested.
‍
Registration will be completed by filling in a form with the user’s first and last name, mobile phone number, email address and password, or through their Facebook or Google account.
‍
An activation code will subsequently be sent to the email address provided. This code must be entered to activate the newly created account. If the email has not been received, the user may request that it be resent using the corresponding option on the website.

2.2. Next Steps
‍
Next Steps
Once the account has been activated and the user is registered, they must provide the additional information required to contract ASESORAE’s services, following the steps indicated on the platform and providing all information necessary for the provision of the services in compliance with applicable data protection regulations.
‍
The user may select the services they wish ASESORAE to provide, including the Entrepreneur Plan, Self-Employed Plan and SME Plan, whose features are described in the “Pricing” section of the website. The user may also select any additional services offered and choose between monthly or annual billing and contract periods. At all times, the user will be able to view the prices applicable to the services selected.
‍
The payment and billing information required to complete the purchase and provide the requested services will be collected in accordance with the Privacy Policy and Organic Law 3/2018 of 5 December on the Protection of Personal Data and Guarantee of Digital Rights.
The platform will indicate the information fields that must be completed until the contract is finalised and signed.
‍
Once all the information required to contract the requested services has been provided, the user will confirm their acceptance of the General and Specific Terms and Conditions by activating the button “I have read and accept the terms and conditions of contract”, which will appear before the user completes the purchase and before payment is made or their intention to contract the services is confirmed.
‍
Once the contracting terms have been accepted, the Customer must provide the details of an authorised debit or credit card. The first payment will be charged to this card at the time of contracting, and subsequent recurring payments for the contracted services will also be charged to the card provided.
‍
A contract document containing the relevant specific terms applicable to the services selected by the customer will then be generated. Once the services have been expressly accepted and contracted, an email will be sent attaching the contract document generated based on the options previously selected by the user. The customer may review the document and, if they agree with its contents, provide their consent by means of an advanced electronic signature provided through ASESORAE’s provider, Signaturit Solutions, S.L. Its system complies with the requirements established by Regulation (EU) No 910/2014 of 23 July 2014 on electronic identification and trust services for electronic transactions in the internal market, repealing Directive 1999/93/EC.

Signaturit’s core service is an advanced electronic signature solution with full legal validity that complies with the latest applicable regulations, both at European Union level (Regulation (EU) No 910/2014) and under Spanish electronic signature legislation. From that moment, the service contract shall be deemed fully concluded. A confirmation and welcome email will subsequently be sent to the customer. A summary of the specific terms applicable to each service will also be provided.
‍
Any additional service subsequently offered by ASESORAE will require a new consent from the customer and will be subject to the same terms and conditions as the initial contract.
‍
3. Requirements for Contracting Services
‍
3.1. Legal Age
‍
To become an ASESORAE customer and contract its services, the user must be of legal age.
‍
In Spain, the legal age is 18. Therefore, any service contracted through ASESORAE by a person under the age of 18 shall be deemed invalid. If ASESORAE discovers that a minor has contracted any of its services, the service will be automatically cancelled.

‍
4.2. Applicable Taxes
‍

Any expenses or disbursements paid by ASESORAE in the course of providing its services, where applicable and not included in the agreed price, shall also be added, together with any additional services approved by the CUSTOMER and provided by ASESORAE during the relevant month. The aforementioned fees do not include any costs arising from proceedings before public authorities that result in the payment of taxes, official fees or third-party professional fees.
‍
4.3. Price Changes
‍
ASESORAE reserves the right to change its prices at any time, provided that customers are notified in advance.
‍
5. Service Term
‍

The service term will always correspond to the period selected, either monthly or annually, and payment will be made according to the option chosen and the specific terms applicable to each contract.
‍
Once the initial term has ended, the services will automatically renew for the same period originally contracted, either one month or one year. If the customer does not wish to renew the services, they must notify ASESORAE within the notice period established in the specific terms of the contract, taking into account the initial contract term.
‍
6. Customer or User Obligations
‍
The customer undertakes to pay for the services provided within the period established in the specific terms of the contract. The customer must use the ASESORAE platform and services appropriately, without violating applicable legislation or infringing the rights and interests of third parties.
‍
The user is required to provide accurate and truthful information both when contracting the services and throughout their subsequent provision.
‍
When contracting services, the user must always be of legal age, which is an essential requirement for entering into a contract.
‍
The user is also responsible for complying with the terms and conditions and the procedures for the provision or performance of the services set out in the applicable specific terms and other applicable conditions.

The user is also responsible for properly using their user account and password to access the platform, undertaking to keep them secure and not make them available to third parties, and to notify ASESORAE of any unauthorised third-party access so that the account can be blocked immediately.
‍
Failure to comply with any of these Terms and Conditions may result in ASESORAE withdrawing or cancelling the services without prior notice and without giving the customer any right to compensation.
‍
7. Obligations of ASESORAE as Service Provider
‍
ASESORAE undertakes to:

– Provide the services in accordance with the manner and features offered through the platform and the provisions of the General and Specific Terms and Conditions.
– Adopt appropriate security measures to protect the confidentiality of user and/or customer data in accordance with this document and the other applicable legal policies, and to act with the utmost diligence towards the customer.

– Comply with the specific terms and conditions applicable to each contracted service.
‍
8. Amendments to These Terms and Conditions
‍
ASESORAE may make changes and/or amendments to these Terms and Conditions whenever it considers this appropriate and/or necessary due to market conditions or legal requirements, including regulatory changes that may apply.
‍
Any update and/or amendment will be duly communicated and notified to users, ensuring transparency and making the changes publicly available while respecting the rights of consumers and/or users.

9. Applicable Law and Jurisdiction
‍
The Parties agree that this Agreement shall be governed by Spanish common law. The Parties expressly waive any jurisdiction to which they may otherwise be entitled and submit to the jurisdiction of the Courts and Tribunals of Las Palmas de Gran Canaria for the resolution of any dispute relating to the validity, performance, interpretation or enforcement of this Agreement.
‍
10. Compliance with Other Legal Policies and Terms
‍
These Terms and Conditions are supplemented by the other legal policies available on the website, including the Legal Notice, Privacy Policy and Cookie Policy, as well as the specific terms applicable to each of our services and any other terms that may need to be added or supplemented in accordance with the legislation in force from time to time.
